1. Agreement to Terms

These Terms of Use (“Terms”) govern your access to and use of the Site operated by Exquis Executive Management Solutions (“EEMS,” “we,” “us,” or “our”). By using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

We may update these Terms at any time by posting a revised version. Continued use of the Site constitutes acceptance of the updated Terms.

2. Eligibility & Lawful Use

You must be the age of majority in your place of residence and able to form a binding contract. You agree to use the Site only for lawful purposes and in accordance with these Terms.

3. Acceptable Use

You agree not to:

5. Intellectual Property

If you submit forms, files, or other materials through the Site (“Submissions”):

• You grant EEMS a non-exclusive, worldwide, royalty-free license to use, reproduce, and process the Submissions to respond to your request and operate our business.
  
  
• Do not submit confidential, classified, CUI/SSI, or export-controlled information through public Site forms. Contact info@eemssolutions.com to arrange a secure transfer if needed.

Your use of the Site is also governed by our Privacy Policy, incorporated by reference.

8. Third-Party Services & Links

The Site may include links to third-party services. We are not responsible for third-party content, products, services, or policies. Your use of third-party services is at your own risk and may be subject to additional terms.

9. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, EEMS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EEMS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY. TO THE EXTENT ANY LIABILITY EXISTS, OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE WILL NOT EXCEED US$100 OR THE AMOUNT YOU PAID (IF ANY) TO USE THE SITE IN THE 12 MONTHS BEFORE THE CLAIM AROSE, WHICHEVER IS GREATER.
Some jurisdictions do not allow certain limitations; some or all of the above may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless EEMS and its officers, directors, employees, agents, and affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Site; (b) your Submissions; or (c) your violation of these Terms or applicable law.

12. Termination & Suspension

We may suspend or terminate your access to the Site at any time, with or without notice, if we believe you have violated these Terms or for any other reason. Upon termination, your right to use the Site ceases immediately.

13. Governing Law & Venue

These Terms are governed by the laws of the State of Georgia, without regard to conflicts-of-law rules. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Atlanta, Georgia for any dispute arising out of or relating to the Site or these Terms.

14. Changes to the Site

We may modify or discontinue all or part of the Site at any time without notice.

15. Assignment

You may not assign or transfer your rights or obligations under these Terms without our written consent. EEMS may assign these Terms as part of a merger, acquisition, or other corporate transaction, or to an affiliate or successor.

16. Entire Agreement; Severability; Waiver

These Terms (together with the Privacy Policy) are the entire agreement between you and EEMS regarding the Site and supersede prior communications. If any provision is deemed unenforceable, it will be severed and the remainder will remain in effect. No waiver is effective unless in writing and signed by EEMS.
